You may use Grayrock products and services only for lawful purposes and in accordance with these Terms.

You must not use Grayrock products or services to:

  • violate any applicable law or regulation;
  • infringe or violate another person’s rights, including intellectual-property, privacy or data-protection rights;
  • upload, transmit or distribute malicious software, harmful code or other material intended to damage or interfere with systems or data;

  • upload, import or synchronize information that you do not have the necessary rights, permissions or authority to provide;
  • attempt to use Grayrock software or infrastructure to gain unauthorised access to a broker, financial institution, trading platform or other third-party service;
  • use Grayrock products in a manner intended to bypass applicable subscription, account, storage, usage or feature limits; or
  • assist or encourage another person to engage in prohibited activity.

Grayrock may investigate suspected misuse and may take reasonable measures to protect users, systems and services, including temporarily restricting or suspending access where necessary.

Where reasonably practicable and appropriate, Grayrock will provide notice of material restrictions or suspension.

4. Grayrock Products and Services

Grayrock develops and operates software products including Grayrock Money and Grayrock Trading Journal, together with related features, services and other products that may be introduced from time to time.

Features, functionality, availability and usage limits may vary between Grayrock products and subscription plans.

Grayrock may improve, modify, update, add, replace or remove functionality as our products and services evolve.

Where a material change significantly affects a paid service, Grayrock will take reasonable steps to communicate the change where appropriate.

Certain features may be identified as beta, preview, experimental or early-access features. Such features may be changed, suspended or discontinued and may not provide the same level of availability or stability as generally released features.

5. User Data

You retain responsibility for information, records, files and other content that you enter, upload, import, synchronize or otherwise provide to Grayrock products.

Depending on the product you use, User Data may include financial information, account records, transactions, categories, budgets, goals, trading history, trading-account information, strategies, notes, attachments, imported files and other information relevant to the applicable product.

You grant Grayrock the limited rights and permissions reasonably necessary to host, store, process, transmit, back up, display and otherwise handle User Data for the purposes of:

  • providing and operating the applicable Grayrock product;
  • performing functions requested by you;
  • maintaining and securing the service;
  • preventing misuse and protecting users and systems;
  • providing support and troubleshooting;
  • maintaining backups and recovery systems where applicable; and
  • improving the reliability and functionality of Grayrock products.

Grayrock does not acquire ownership of your User Data merely because it is stored or processed through a Grayrock product.

You represent that you have the rights, permissions or other authority necessary to provide, upload, import or synchronize information that you submit to Grayrock.

You must not knowingly upload or provide information in violation of applicable law or another person’s rights.

Our handling of personal data is further described in our Privacy Policy and Data Protection & Security information.

6. Financial and Trading Data

Grayrock products may process information that users consider financially sensitive.

Grayrock Money may process information such as accounts, balances, transactions, income, expenses, categories, budgets, financial goals, recurring commitments, reconciliation information and related financial records.

Grayrock Trading Journal may process information such as completed trades, trading history, trading-account identifiers, strategies, setups, performance information, notes, trading costs, psychology and discipline records and related journal information.

Users are responsible for reviewing the accuracy and completeness of information entered, imported, synchronized, calculated or displayed through Grayrock products.

Grayrock products are designed as information-management, recordkeeping, analytical and review tools. They should not be treated as the sole authoritative source for bank balances, brokerage records, tax records, statutory accounts or other records maintained by the relevant financial institution, broker, accountant or other authoritative provider.

Where there is a discrepancy, users should verify information against the appropriate original or authoritative source.

7. Data Import, Export and Synchronization

Certain Grayrock products may allow users to import, export, map, synchronize or otherwise transfer information.

Supported file formats, source structures, platforms and import capabilities may vary by product, subscription plan and software version.

Grayrock may provide tools intended to recognize, validate, normalize, map or identify possible duplicates in imported information. These tools are intended to assist users but do not guarantee that every external file, data structure or record can be interpreted correctly.

You are responsible for reviewing imported or synchronized information and confirming that it accurately reflects the source data.

Where Grayrock provides data-export or backup functionality, you are responsible for securely storing any files you download.

Exported or backup files may contain sensitive financial, trading or personal information and should be protected accordingly.

Grayrock Sync

Grayrock Sync may allow supported completed MetaTrader trades to be synchronized with Grayrock Trading Journal.

Grayrock Sync is designed for journal synchronization and does not provide Grayrock with authority to place, modify or close trades through your trading account.

Grayrock does not request your broker master password or investor password as part of the Grayrock Sync pairing workflow.

Synchronization depends on supported software, connectivity, configuration and the continued operation of the components required for synchronization. Grayrock does not guarantee that synchronization will always occur instantaneously or without interruption.

Users should verify synchronized records against their trading platform or broker records where accuracy is important.

8. Data Protection, Security and International Hosting

Grayrock takes reasonable measures appropriate to the nature of its services and the information involved to protect personal information and User Data against risks such as unauthorized access, collection, use, disclosure, copying, modification, loss or disposal.

Grayrock Capital Pte. Ltd. is based in Singapore.

Grayrock may use infrastructure and service providers located outside Singapore. Production infrastructure may be hosted in the European Union, including the Netherlands.

Where personal data is transferred outside Singapore, Grayrock will take appropriate steps in accordance with applicable data-protection requirements.

No internet-connected system, cloud service, software product or electronic storage method can be guaranteed to be completely secure. Grayrock therefore does not represent that its systems are immune from every possible security threat, vulnerability, interruption or unauthorized activity.

Users are responsible for maintaining the security of their own devices, email accounts, passwords, authentication methods and downloaded Grayrock backup or export files.

Further information is provided in our Privacy Policy and Data Protection & Security page.

9. Data Backup, Export and Retention

Grayrock may provide product-level backup, export or recovery functionality depending on the applicable product and subscription plan.

Product-level backup or export functionality does not replace a user’s responsibility to retain copies of important records where appropriate.

Users should retain independent copies of source records or exports where those records are important for financial, trading, business, tax, regulatory or other purposes.

Grayrock may also maintain infrastructure backups for service continuity, security and recovery purposes.

Grayrock retains personal data and User Data only for as long as reasonably necessary for the purposes for which it is processed, legitimate business requirements, security, dispute resolution or applicable legal obligations.

Following account closure, workspace deletion or termination of a service, data may remain temporarily in backup systems until the relevant backups expire according to Grayrock’s applicable retention practices.

Where deletion or export functionality is available within a product, users should use those functions before closing an account where they wish to retain a personal copy of their information.

10. Intellectual Property

Grayrock’s websites, software, source code, interfaces, designs, documentation, graphics, branding, trademarks, product names and other materials are protected by applicable intellectual-property laws.

Except for the limited rights expressly granted to use a Grayrock product or service in accordance with these Terms, no ownership rights in Grayrock software or intellectual property are transferred to users.

Grayrock, Grayrock Money, Grayrock Trading Journal, Grayrock Sync, associated branding and related product materials remain the property of Grayrock Capital Pte. Ltd. or their applicable rights holders.

You must not, except where permitted by applicable law or expressly authorized by Grayrock:

  • copy or redistribute Grayrock software;
  • reproduce proprietary Grayrock materials for commercial purposes;
  • attempt to obtain unauthorized access to Grayrock source code or systems;
  • remove proprietary notices;
  • use Grayrock branding in a manner that suggests an unauthorized affiliation or endorsement; or
  • use Grayrock intellectual property in violation of applicable law.

11. Subscriptions and Payments

Certain Grayrock products are available through Free, Plus, Pro or other subscription plans.

Available plans, prices, features, usage limits and billing options are displayed on the relevant Grayrock pricing page or during the subscription process.

Paid subscriptions may be offered on monthly, annual or other billing periods.

Before entering into a paid subscription, users will be provided with applicable pricing and material billing information.

Unless otherwise stated during checkout, subscription fees are charged for access to the applicable service during the selected billing period.

Grayrock may change subscription pricing or plan structures from time to time. Where a change affects an existing paid subscription, reasonable notice will be provided where required or appropriate.

Taxes, duties or similar governmental charges may apply depending on the user’s location and applicable law.

Payments may be processed by third-party payment service providers. Grayrock does not necessarily receive or store complete payment-card information when payment processing is performed by such providers.

12. Free Plans, Trials and Promotional Access

Grayrock may offer free plans, free trials, promotional access, beta access or other limited-access arrangements.

Such access may be subject to:

  • feature limitations;
  • usage limits;
  • storage limits;
  • account limits;
  • reduced support;
  • time limits; or
  • other conditions disclosed with the applicable offer.

Grayrock may modify or discontinue a free plan, trial or promotional arrangement where reasonably necessary, subject to applicable law.

Free access does not guarantee that the same features or limits will remain available indefinitely.

13. Renewal, Plan Changes and Cancellation

Where a subscription automatically renews, the applicable renewal terms will be disclosed during the subscription process.

Users may be able to upgrade, downgrade or cancel a subscription through their account or another method provided by Grayrock.

Plan changes may affect available functionality, account limits, storage, synchronization, analytics, reporting or other product capabilities.

Where a user downgrades to a plan with lower limits, some information or functionality may become unavailable until usage is brought within the applicable plan limits.

Grayrock will not intentionally delete User Data solely because of a plan downgrade without providing reasonable handling consistent with the applicable product rules, but users remain responsible for reviewing the consequences of a plan change and exporting important information where appropriate.

Cancellation generally prevents future renewal rather than automatically deleting the user’s account or data unless otherwise stated.

Detailed cancellation and refund terms may be provided in a separate Subscription, Cancellation & Refund Policy or during checkout.

14. Refunds

Subscription fees are generally associated with access to Grayrock services for the applicable billing period.

Any refund eligibility will be determined by the refund terms presented during purchase, applicable Grayrock subscription policies and applicable law.

Nothing in these Terms limits any mandatory consumer rights or remedies that cannot lawfully be excluded.

Where Grayrock issues a refund, the refund may be returned through the original payment method or another method permitted by the relevant payment provider.

15. Third-Party Services

Grayrock may rely on third-party providers for services such as:

  • infrastructure and hosting;
  • database or file storage;
  • authentication;
  • email delivery;
  • payment processing;
  • analytics;
  • monitoring;
  • customer support; and
  • other operational services.

Use of certain third-party services may also be subject to the relevant provider’s terms, policies and technical availability.

Grayrock is not responsible for independent third-party websites, products or services that are not operated or controlled by Grayrock.

Links to or interoperability with a third-party service do not necessarily imply endorsement, partnership or affiliation.

16. Third-Party Platforms and Trading Software

Grayrock Trading Journal may support imports, synchronization or other interoperability with third-party trading platforms or exported trading data.

References to MetaTrader 4, MetaTrader 5, cTrader or other third-party platforms are used to identify compatibility or supported workflows.

Unless expressly stated otherwise, Grayrock is independent of the operators of those third-party platforms, brokers and financial institutions.

Third-party platform availability, data formats, APIs, software behaviour or policies may change without Grayrock’s control and may affect compatibility or functionality.

Grayrock does not guarantee the continued availability of integration or compatibility with every version of a third-party platform.

17. Service Availability and Maintenance

Grayrock aims to provide reliable services but does not guarantee uninterrupted, continuous or error-free operation.

Services may occasionally be unavailable because of:

  • planned maintenance;
  • software updates;
  • infrastructure maintenance;
  • technical failures;
  • internet or network problems;
  • third-party service interruptions;
  • security incidents;
  • emergency maintenance; or
  • circumstances outside Grayrock’s reasonable control.

Grayrock may perform maintenance or updates where reasonably necessary to maintain security, reliability or functionality.

Where practical, Grayrock may provide notice of significant planned interruptions.

18. Product Changes

Grayrock products will continue to evolve.

Grayrock may introduce new functionality, modify workflows, change interfaces, improve features, impose or revise reasonable usage limits, or discontinue functionality.

Not every feature shown in historical screenshots, articles, documentation or announcements is guaranteed to remain unchanged indefinitely.

Where a material change significantly affects a paid service, Grayrock will take reasonable steps to communicate the change where appropriate.

19. No Professional, Financial or Investment Advice

Grayrock provides software tools for information management, financial organization, trade journaling, analysis and review.

Grayrock Money is not accounting, tax, legal, banking, investment-advisory or financial-advisory software and is not intended to replace professional advice where such advice is required.

Grayrock Trading Journal is designed for recording, organizing, analyzing and reviewing trading activity.

It does not provide trading signals, personalized investment recommendations or instructions to buy, sell or hold financial products.

Grayrock Sync is designed to synchronize supported completed trading records with Grayrock Trading Journal. It does not provide Grayrock with trading authority and is not designed to place, modify or close trades.

Any information, statistics, analytics, reports, calculations, educational content or other output provided through Grayrock should be considered in context and should not be relied upon as a guarantee of future financial or trading outcomes.

Trading and investing involve risk, including the possible loss of capital.

Additional information is provided in Grayrock’s Disclaimer.

20. User Decisions and Responsibility

Users remain responsible for decisions made using information displayed, calculated, organized or analyzed through Grayrock products.

You should independently verify information where accuracy is important and obtain appropriate professional advice where necessary.

Historical results, statistics, analytics, classifications, calculations and reports do not guarantee future outcomes.

Grayrock does not control decisions made by users regarding spending, budgeting, financial management, trading, investing, tax treatment, accounting or other matters.

21. Support

Grayrock may provide support through email, website forms, Help & Support resources or other channels made available from time to time.

Support availability, response times and priority may vary by product and subscription plan.

Priority support, where included in a subscription plan, means that eligible support requests may receive prioritized handling. It does not guarantee immediate resolution or a specific outcome unless expressly stated otherwise.

Support personnel cannot provide regulated financial, investment, legal, accounting or tax advice.

22. Suspension and Restriction of Access

Grayrock may suspend, restrict or take reasonable protective action regarding an account or service where necessary to:

  • protect users or Grayrock systems;
  • investigate suspected unauthorized access;
  • address security risks;
  • prevent fraud or misuse;
  • respond to excessive or abusive use;
  • enforce these Terms;
  • comply with legal or regulatory requirements; or
  • protect the rights of Grayrock or others.

Where reasonably practicable and appropriate, Grayrock may provide notice of suspension or restriction.

23. Termination

Users may stop using Grayrock services and may cancel applicable subscriptions in accordance with the available cancellation process.

Grayrock may terminate or permanently restrict access where there is a serious or repeated breach of these Terms, unlawful activity, security threat, fraud or another legitimate reason requiring termination.

Termination of access does not automatically remove obligations that arose before termination.

Sections that by their nature should continue after termination—including intellectual-property provisions, disclaimers, limitations of liability and applicable payment obligations—will continue to apply.

Data following termination will be handled in accordance with Grayrock’s applicable data-retention practices and Privacy Policy.

24. Disclaimer of Warranties

To the maximum extent permitted by applicable law, Grayrock products and services are provided on an “as available” basis.

While Grayrock aims to provide reliable and useful software, we do not guarantee that:

  • services will always be uninterrupted;
  • every feature will always be available;
  • software will be entirely free of errors or vulnerabilities;
  • every external file or data format can be imported successfully;
  • every third-party platform will remain compatible;
  • synchronized or imported information will always be complete or error-free; or
  • use of Grayrock will produce any particular financial, trading or other outcome.

Nothing in these Terms excludes warranties, rights or remedies that cannot lawfully be excluded.

25. Limitation of Liability

To the maximum extent permitted by applicable law, Grayrock Capital Pte. Ltd. will not be liable for indirect, incidental, special, exemplary or consequential losses arising from or relating to use of, or inability to use, Grayrock products or services.

This may include, where legally permissible, loss arising from:

  • interruption of service;
  • loss of opportunity;
  • loss of expected profits;
  • decisions made using product information;
  • incompatible or incorrectly structured imported data;
  • third-party platform failures;
  • user configuration errors; or
  • loss of information where the user failed to retain an appropriate independent copy.

Nothing in these Terms excludes or limits liability to the extent that such exclusion or limitation is prohibited by applicable law.

Any limitation or exclusion of liability in these Terms is subject to applicable Singapore law and any mandatory rights available to users.

26. Indemnity

To the extent permitted by applicable law, you agree to be responsible for losses, claims, liabilities or reasonable costs arising directly from:

  • your unlawful use of Grayrock services;
  • information you upload or provide without the necessary rights or authority;
  • your material breach of these Terms; or
  • your intentional misuse of Grayrock systems.

This provision does not apply to the extent that a loss was caused by Grayrock or where liability cannot lawfully be allocated in this manner.

27. Privacy and Data Protection

Grayrock’s collection, use, disclosure, storage and other handling of personal data is governed by our Privacy Policy and applicable data-protection requirements.

Our Data Protection & Security page provides additional information about our general approach to security, hosting, international transfers and data protection.

By using Grayrock services, you acknowledge that personal data may be processed as necessary to provide and secure the applicable services, subject to applicable law and our Privacy Policy.

28. Changes to These Terms

Grayrock may update these Terms as our products, subscription arrangements, technology, business operations or legal requirements evolve.

The current version will be published on Grayrock.asia together with an updated effective or “Last Updated” date.

Where changes are material and materially affect users of a paid service, Grayrock will take reasonable steps to provide notice where appropriate or required.

Continued use of a Grayrock service following the effective date of updated Terms may constitute acceptance of the updated Terms where permitted by applicable law.

29. Severability

If any provision of these Terms is determined by a court or other competent authority to be invalid, unlawful or unenforceable, that provision will be interpreted or limited to the minimum extent necessary where legally permissible.

The remaining provisions will continue in effect.

30. No Waiver

If Grayrock does not exercise or enforce a right or remedy available under these Terms, that does not constitute a waiver of that right or remedy.

A delay in exercising a right or remedy does not prevent Grayrock from exercising it later.

Any waiver by Grayrock of a provision of these Terms will apply only where the waiver is expressly made and only to the specific circumstances for which it is given.

A waiver of one breach or circumstance does not constitute a waiver of any subsequent breach or different circumstance.

31. Entire Agreement

These Terms, together with Grayrock’s Privacy Policy, Disclaimer, any applicable subscription or payment terms, and any other policies or terms expressly incorporated by reference, constitute the agreement between you and Grayrock concerning your use of the applicable Grayrock products and services.

Where product-specific or subscription-specific terms apply, those additional terms form part of the agreement governing the relevant product or service.

If there is a conflict between these Terms and specific terms expressly stated to apply to a particular Grayrock product, feature or subscription, the specific terms will apply to the extent of that conflict.

These Terms supersede prior discussions, communications or representations concerning the subject matter covered by these Terms, except where otherwise required by applicable law or expressly agreed in writing by Grayrock.

32. Assignment

You may not assign, transfer or otherwise dispose of your rights or obligations under these Terms to another person or entity without Grayrock’s prior written consent.

Grayrock may assign or transfer its rights and obligations under these Terms in connection with a corporate restructuring, merger, acquisition, sale of business or assets, or transfer of the relevant Grayrock product or service, subject to applicable law.

Where such an assignment or transfer materially affects users’ rights or the handling of personal data, Grayrock will take reasonable steps to provide appropriate notice where required.

Any attempted assignment or transfer in violation of this section may be ineffective to the extent permitted by applicable law.

33. Governing Law and Jurisdiction

These Terms and any dispute or claim arising out of or relating to these Terms, Grayrock products or Grayrock services are governed by the laws of the Republic of Singapore, without regard to conflict-of-law principles that would require the application of another jurisdiction’s laws.

Subject to any rights or remedies that cannot lawfully be excluded, the courts of Singapore will have jurisdiction over disputes arising out of or relating to these Terms or the use of Grayrock products and services.

Nothing in this section is intended to exclude, restrict or override any mandatory consumer protection, data-protection or other statutory rights that apply to a user and cannot lawfully be excluded by agreement.
